第一条 协议目的

Article 1 – Purpose

本协议旨在规范乙方在产品、材料、工艺、供应链等方面发生重大变更时，必须及时向甲方提交变更通知，并在获得甲方书面批准后方可实施变更。
This agreement is intended to define the obligations of the Supplier (Party B) to notify the Customer (Party A) of any significant changes related to product, material, process, or supply chain, and to obtain written approval before implementation.

Including but not limited to:

  1. 材料或零部件替换（BOM变更）
    Material or component substitution (BOM changes)

  2. 工艺或流程变更
    Process or manufacturing changes

    Change of production location or equipment

  4. 包装方式或标签内容变更
    Changes in packaging or labeling

  5. 软件/固件版本变更
    Software/firmware version updates

  6. 产品停产（EOL）通知
    End-of-life (EOL) notifications

第三条 变更通知要求

Article 3 – Notification Requirements

  1. 乙方应至少提前___天以书面形式向甲方提交PCN通知（建议不少于90或180天）。
    The Supplier shall submit the PCN notice to the Customer in writing at least ___ days in advance (typically no less than 90 or 180 days).

  2. PCN内容应包括：
    The PCN shall include:

    • 变更描述和原因（Description and reason for change）

    • 受影响产品的料号（Affected part numbers）

    • 风险评估报告（Risk analysis）

    • 替代方案（if applicable）（Alternative proposal if applicable）

    • 样品或验证数据（Samples or validation data）

    • 实施日期建议（Proposed implementation date）

  3. 未经甲方书面同意，乙方不得擅自实施变更。
    No change shall be implemented without written approval from Party A.

第四条 甲方权利

Article 4 – Customer Rights

  1. 甲方有权对变更进行评估，并提出批准、拒绝或要求进一步验证。
    Party A reserves the right to evaluate, approve, reject, or request further validation of any proposed change.

  2. 如乙方未按要求通知变更，甲方有权要求赔偿因此造成的经济损失。
    If Party B fails to notify changes as required, Party A reserves the right to claim compensation for any resulting damages or losses.

第五条 违约责任

Article 5 – Breach and Liability

若乙方违反本协议，未提交PCN或未获得书面批准即擅自变更产品，甲方有权：
If Party B violates this agreement by making changes without submitting a PCN or obtaining written approval, Party A is entitled to:

  • 要求退货、索赔或技术纠正
    Request product returns, compensation, or corrective action

  • 扣罚合同金额的__%作为违约金
    Impose a penalty of __% of the contract value as liquidated damages

  • 暂停或终止合作
    Suspend or terminate cooperation

第六条 协议期限

Article 6 – Duration

本协议自双方签署之日起生效，有效期为__年，期满后如无异议自动续期一年。
This agreement shall take effect upon signing by both parties and remain valid for __ years. It will be automatically renewed for one year unless otherwise specified.

第七条 其他

Article 7 – Miscellaneous

  1. 本协议未尽事宜，双方可通过补充协议另行约定，补充协议具有同等法律效力。
    Any matters not covered herein may be addressed in supplementary agreements, which shall carry equal legal force.

  2. 本协议一式两份，甲乙双方各执一份。
    This agreement is made in two copies, one for each party.
